Terms of Service

By accessing or using NaviOrca ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including visitors, registered users, and subscribers.

NaviOrca is an AI-powered outreach platform that helps users discover contacts, generate personalized email drafts, send emails through connected inboxes, and manage follow-up sequences. The Service operates via a conversational AI interface and a smart lead table.

You must be at least 16 years old and capable of entering into a legally binding agreement to use NaviOrca. By using the Service, you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at eric@naviorca.ai if you suspect unauthorized access to your account.

You agree to use NaviOrca only for lawful purposes. You must not:

• Send spam, unsolicited bulk emails, or messages that violate CAN-SPAM, GDPR, or other applicable laws
• Use the Service to harass, threaten, or harm any individual
• Attempt to circumvent usage quotas or API rate limits
• Use the Service to scrape, harvest, or collect data in violation of third-party terms
• Reverse-engineer, decompile, or attempt to access the source code of NaviOrca
• Resell or sublicense access to the Service without written permission
• Use NaviOrca to send emails on behalf of someone else without their authorization

NaviOrca sends emails through your connected personal or business inbox. You are solely responsible for ensuring your outreach complies with all applicable laws, including CAN-SPAM (US), GDPR (EU), CASL (Canada), and any other regulations applicable to your recipients.

You must ensure that all emails sent via NaviOrca include an unsubscribe mechanism and honor opt-out requests promptly. NaviOrca is a tool — the legal responsibility for the content and targeting of emails lies with you, the sender.

NaviOrca offers paid subscription plans (Starter and Pro) billed monthly. Payment is processed by Creem.io. By subscribing, you authorize recurring charges to your payment method.

Subscriptions automatically renew each month unless canceled before the renewal date. Refunds are not provided for partial months. To cancel, contact us at eric@naviorca.ai.

NaviOrca does not offer a public free trial by default. Registered users without an active subscription may sign in, set up missions and email settings, and view existing data, but paid product features require a subscription.

NaviOrca and its original content, features, and functionality are owned by us and protected by applicable intellectual property laws. You retain ownership of any content you create or upload, including email briefs and lead criteria. You grant us a limited license to process this content solely to provide the Service.

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR OUTREACH RESULTS WILL BE ACHIEVED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAVIORCA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in abusive behavior, or if required by law. Upon termination, your right to use the Service ceases immediately.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration.

We may update these Terms from time to time. We will notify you of material changes by email or via an in-app notice at least 7 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
